Terms of Service

Terms of Service

Effective Date: 11 September 2026
Last Updated: 11 September 2026

These Terms of Service (“Terms”) govern your access to and use of the WaveBNB website, services, software, tools, demonstrations and related deliverables provided by WaveBNB (“WaveBNB”, “we”, “us” or “our”).

By accessing https://wavebnb.com/, requesting or purchasing services, using a WaveBNB tool or demonstration, or entering into a proposal, order form, statement of work or other agreement with us, you agree to these Terms. If you are accepting these Terms on behalf of a company or other organisation, you confirm that you have authority to bind that organisation.

If a signed proposal, statement of work, order form or other written agreement conflicts with these Terms, the signed agreement will take priority for the conflicting provision.

1. About WaveBNB

WaveBNB is a hospitality growth and AI partner providing managed services to hotels, resorts, professional vacation-rental operators and other hospitality businesses.

Our core services may include:

  • Hotel SEO & Visibility: improving discoverability across search engines, maps, AI search, local discovery and relevant hospitality platforms
  • Direct Booking Growth: helping hospitality businesses generate and convert profitable direct demand through acquisition, retargeting, analytics and related growth activity
  • Website & Booking Conversion: improving websites, landing pages, booking journeys, user experience, conversion performance and analytics
  • AI Guest Experience & Automation: using managed AI and automation to support reservations, guest messaging, concierge, upsells, service recovery, routing and human escalation

The exact services, deliverables, channels, properties, integrations, usage allowances and responsibilities included in an engagement are defined in the applicable proposal, statement of work or order form.

2. Eligibility and Business Use

Our commercial services are intended primarily for businesses and authorised representatives of businesses.

You must provide accurate information and have authority to enter into agreements, provide account access, approve content and instruct us on behalf of the relevant business or property.

You may not use our services in violation of applicable law, third-party rights or the rules of any platform connected to the service.

3. Proposals, Statements of Work and Scope

A proposal, statement of work, order form or similar document may define the commercial scope of an engagement, including:

  • services and deliverables
  • properties, markets or brands covered
  • channels and platforms included
  • implementation requirements
  • AI or content usage allowances
  • client responsibilities
  • timelines and dependencies
  • fees and billing schedule
  • minimum commitment
  • primary performance indicators
  • review periods
  • specific exclusions

Work outside the agreed scope may require a revised scope, change request, additional fee or separate project.

WaveBNB does not provide unlimited deliverables, unlimited content production or unlimited AI usage unless explicitly agreed in writing. Where usage allowances apply, excess usage may be charged separately, limited, paused or moved to an appropriate plan.

4. Client Responsibilities

Successful delivery depends on timely and accurate cooperation from the client. You are responsible for:

  • providing complete and accurate business, property, service, pricing and operational information
  • providing necessary account, website, analytics, advertising, booking, messaging or platform access
  • maintaining the rights and permissions required for content, data, images, customer information and accounts supplied to WaveBNB
  • reviewing and approving information, content, knowledge-base material, offers, escalation rules and other items requiring client approval
  • providing timely feedback and decisions
  • maintaining appropriate staff coverage for conversations or situations that require human intervention
  • ensuring that guest-facing operational information supplied to WaveBNB remains accurate and up to date
  • informing us promptly of material changes that could affect a service, integration, campaign or automated response

WaveBNB is not responsible for delays, errors or reduced performance caused by incomplete information, inaccurate client data, delayed approvals, unavailable access, third-party restrictions or other client-side dependencies.

5. AI Guest Experience and Automation

WaveBNB may provide managed AI systems that classify messages, retrieve approved information, generate responses, identify intent, support upsell opportunities, route requests and trigger human escalation.

AI-generated content may occasionally be incomplete, inaccurate or inappropriate. AI systems are probabilistic and should not be treated as a substitute for human judgement in situations requiring operational, safety, legal, financial, medical or emergency decisions.

Where an AI service includes escalation, the client is responsible for maintaining suitable staff contacts and procedures so escalated conversations can be reviewed and handled.

Guests should not rely on an automated guest messaging service for emergencies.

Unless a specific integration has been implemented, tested and expressly included in writing, WaveBNB does not represent that an AI service can independently:

  • confirm live room availability
  • complete or modify a booking
  • take or refund a payment
  • change a reservation in a property management system
  • guarantee an upgrade, amenity or operational request
  • perform any other action that depends on an external system or staff approval

Where third-party integrations are included, their operation may depend on third-party APIs, permissions, uptime, pricing, policies and technical limitations.

6. AI Usage and Fair Use

AI usage may be included up to a defined allowance or charged separately based on usage, depending on the applicable agreement.

WaveBNB does not offer unlimited AI usage by default.

We may monitor usage for service quality, security, capacity planning and billing purposes. Where usage materially exceeds the agreed allowance, we may contact the client to increase the allowance, reduce scope, apply additional charges or implement reasonable technical limits.

7. Third-Party Platforms and Services

Our services may depend on or interact with third-party platforms, software and infrastructure, including advertising platforms, search engines, analytics providers, messaging platforms, AI providers, website systems, booking technologies, hosting providers and databases.

Examples may include Meta and WhatsApp, Google, Anthropic, Supabase, Vercel, Voyage AI and other providers used as the service evolves.

Third-party services are governed by their own terms, policies, pricing, availability and technical rules. WaveBNB does not control those third parties and is not responsible for outages, policy changes, account restrictions, API changes, suspensions or other events outside our reasonable control.

You are responsible for complying with the terms of third-party accounts owned or controlled by you.

8. Advertising and Media Spend

Advertising spend, media spend, platform charges and similar third-party costs are separate from WaveBNB management fees unless expressly stated otherwise in writing.

The client is responsible for maintaining sufficient payment methods, platform balances and approved budgets required to keep advertising activity running.

WaveBNB may recommend budgets, but actual advertising results and platform costs can vary.

9. Fees and Payment

Fees are defined in the applicable proposal, statement of work, order form or invoice. Public website content does not constitute a fixed pricing offer.

Unless otherwise agreed in writing:

  • recurring service fees are billed monthly in advance
  • project and AI implementation fees are billed 50% to commence and 50% on delivery
  • advertising spend is billed or paid separately from the WaveBNB service fee
  • AI usage may be charged separately or included only up to an agreed allowance

You are responsible for paying all undisputed invoices by the due date stated on the invoice or applicable agreement.

If an undisputed payment becomes overdue, WaveBNB may suspend affected work or access after reasonable notice until the account is brought up to date.

10. Taxes

Fees are exclusive of applicable taxes, duties or similar governmental charges unless expressly stated otherwise.

Where WaveBNB is legally required to collect applicable taxes, those amounts may be added to the invoice.

11. Minimum Commitment, Renewal and Notice

Unless a written agreement states otherwise, recurring services have an initial minimum commitment of three months.

A longer commitment, commonly six to twelve months, may apply where a discounted rate, founding-client arrangement or other commercial concession has been exchanged for a defined term.

After the initial commitment, either party may normally end the recurring engagement by providing 30 days’ written notice, unless a different notice period is stated in the applicable agreement.

Project-based work ends when the agreed project scope is completed, unless ongoing services are separately agreed.

12. Cancellation and Termination

Either party may terminate an engagement in accordance with the applicable agreement and any minimum commitment or notice period.

We may suspend or terminate a service more quickly where reasonably necessary because of:

  • material breach of these Terms or a signed agreement
  • non-payment of undisputed fees
  • illegal, fraudulent or abusive activity
  • security risk or misuse of systems
  • a third-party platform requirement or suspension
  • conduct that creates material risk to WaveBNB, a client, a guest or a third party

Termination does not remove payment obligations that arose before the effective termination date.

Any specific refund, credit or early-termination arrangement must be stated in the applicable written agreement or required by applicable law.

13. Service Changes and Change Requests

Hospitality technology, search platforms, advertising systems and AI services change frequently. We may make reasonable changes to delivery methods, tools, providers or workflows where the overall purpose of the agreed service remains materially consistent.

Material scope changes requested by the client may require revised fees, timelines, usage allowances or commercial terms.

14. Performance and Results

WaveBNB aims to improve measurable commercial outcomes, but marketing, SEO, paid media, conversion, website and AI results depend on many factors outside our control.

Unless expressly agreed in a signed document, WaveBNB does not guarantee:

  • specific search rankings or AI-search visibility
  • a specific number of leads, bookings or enquiries
  • a particular occupancy level
  • a particular conversion rate
  • a particular advertising return
  • a specific amount of direct booking revenue
  • a specific automation rate
  • a specific amount of upsell revenue
  • any fixed percentage improvement in commercial performance

Where appropriate, an engagement may establish a baseline, a primary KPI and a review period so performance can be evaluated against agreed objectives.

15. Website, SEO and Content Services

Search-engine rankings, AI-search visibility, local visibility and website traffic are affected by search-engine algorithms, competitors, technical conditions, market demand and other factors that WaveBNB does not control.

WaveBNB may recommend or implement technical, content, structured-data, internal-linking, local-search and conversion changes within the agreed scope.

The client remains responsible for final approval of material claims, legal statements, pricing, property information and other business information published on its behalf.

16. Intellectual Property

Each party retains ownership of intellectual property, materials, systems, trademarks, data and know-how that it owned before the engagement or developed independently of it.

Unless a signed agreement states otherwise:

  • the client retains ownership of its business data, brand assets, property information and materials supplied to WaveBNB
  • WaveBNB retains ownership of its pre-existing frameworks, processes, prompts, templates, methodologies, software components, know-how and reusable systems
  • ownership or licence rights for bespoke deliverables created specifically for the client will be determined by the applicable proposal, statement of work or written agreement

Nothing in these Terms transfers ownership of one party’s pre-existing intellectual property to the other.

17. Client Content and Permissions

You grant WaveBNB the permissions reasonably necessary to use materials, accounts, data and content supplied by you solely to deliver the agreed services.

You represent that you have the necessary rights, licences and permissions to provide those materials and to authorise the agreed use.

You must not provide content or data that unlawfully infringes another person’s intellectual-property, privacy or other rights.

18. Confidentiality

Each party may receive confidential business, commercial, technical or operational information from the other.

Each party will use reasonable care to protect confidential information and will use it only as necessary to perform or receive the services, manage the commercial relationship or comply with law.

Confidential information does not include information that is publicly available through no breach of obligation, independently developed without use of the confidential information, or lawfully received from a third party without confidentiality restrictions.

19. Data Protection and Privacy

Our handling of personal information is also governed by our Privacy Policy.

Where WaveBNB processes personal information on behalf of a client, additional data-processing terms may apply where legally required or agreed between the parties.

Clients are responsible for having an appropriate legal basis for personal information they instruct WaveBNB to process and for providing any notices required to their guests, customers, staff or other individuals.

20. Acceptable Use

You must not use WaveBNB services, demonstrations or systems to:

  • violate applicable law or regulation
  • send unlawful spam or prohibited communications
  • harass, threaten, discriminate against or deceive another person
  • distribute malware or attempt unauthorised access
  • interfere with system security or availability
  • misrepresent your identity or authority
  • infringe intellectual-property, privacy or other rights
  • submit data you are not authorised to use
  • circumvent reasonable usage, safety or security controls
  • use an AI guest service as an emergency-response system

We may restrict access where reasonably necessary to protect users, clients, guests, third parties or our systems.

21. Service Availability, Maintenance and Security

We aim to provide reliable services but do not promise uninterrupted or error-free availability.

Services may be affected by maintenance, internet failures, software defects, cyber incidents, third-party outages, API changes, messaging-platform issues or circumstances outside our reasonable control.

We may perform maintenance, updates or security changes where reasonably necessary.

22. Demonstrations, Beta Features and Simulated Data

WaveBNB may provide demonstrations, prototypes, pilot features or beta functionality before full commercial deployment.

Demonstrations may use simulated, test or example data and are intended to illustrate workflows or potential capabilities. Demonstration behaviour does not by itself create a contractual commitment that every illustrated feature will be available in a live client deployment.

Any production integration, operational action, external-system connection or commercial capability must be expressly included in the applicable written scope and, where relevant, successfully configured and tested.

23. Warranties and Disclaimers

WaveBNB will provide services with reasonable care and skill consistent with the agreed scope.

Except to the extent required by law or expressly stated in a signed agreement, services, software, demonstrations and AI outputs are provided without additional warranties, including warranties that a service will be uninterrupted, error-free or achieve a particular commercial outcome.

You remain responsible for business decisions made using reports, recommendations, AI outputs or other information provided through the services.

24. Limitation of Liability

Nothing in these Terms excludes or limits liability where such liability cannot lawfully be excluded or limited.

To the maximum extent permitted by applicable law, neither party will be liable to the other for indirect, incidental, special or consequential loss arising solely from the use of the services, including loss of anticipated profits, revenue, goodwill or business opportunity, except where such exclusion is prohibited by law or a signed agreement states otherwise.

Any specific contractual liability cap or allocation of risk will be set out in the applicable signed agreement. If no such provision exists, applicable law will determine the extent of liability.

25. Indemnity for Unauthorised Client Materials or Use

To the extent permitted by applicable law, you are responsible for claims arising from materials, data or instructions you provide where you did not have the required rights or authority, or from your unlawful or prohibited use of the services.

This section does not require you to indemnify WaveBNB for losses caused by WaveBNB’s own unlawful conduct or to the extent such an obligation would be unenforceable under applicable law.

26. Case Studies, Testimonials and Publicity

WaveBNB will not rely on a client relationship, testimonial, logo, commercial result or case study as approved public proof unless the relevant permission has been obtained.

Where a founding-client discount or other commercial concession is expressly exchanged for case-study, testimonial or data-access rights, those rights and conditions should be documented in the applicable agreement.

27. Changes to These Terms

We may update these Terms from time to time to reflect changes in our services, technology, legal requirements or business practices.

When we update these Terms, we will change the “Last Updated” date at the top of this page.

Material changes affecting an active signed engagement will not override conflicting signed commercial terms unless the parties agree otherwise or the change is required by law.

28. Governing Law and Disputes

The governing law, jurisdiction and any specific dispute-resolution process for a paid engagement will be determined by the applicable signed proposal, order form, statement of work or other written agreement.

If no separate agreement specifies those matters, the rights and obligations of the parties will be determined by the applicable law and competent jurisdiction.

29. General Terms

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will continue to apply to the extent permitted by law.

A failure or delay in exercising a right does not automatically waive that right.

You may not assign a paid service agreement without our prior written consent where the assignment would materially affect delivery, risk or payment obligations, except as permitted in the applicable agreement or by law.

These Terms, together with the Privacy Policy and any applicable signed proposal, statement of work, order form or agreement, form the relevant contractual framework for the services.
